The situation
An upcoming tax law change, with the bill uploaded
A logistics group headquartered in Utrecht has a board meeting in five weeks. The Tax Plan presented on Prinsjesdag includes a measure that touches how the group finances its subsidiaries. The CFO wants two pages: what changes, from when, how certain it is, and what the board should decide now.
The bill and its explanatory memorandum run to hundreds of pages, and the measure that matters is spread across several of them. Separating what is proposed from what is law, tracking amendments as the bill moves, and writing it for a board that does not read tax law is the work.
What the research has to settle
The rules behind the answer
- A bill is not law yet
- A Dutch tax bill passes the House of Representatives, where it can be amended, and then the Senate, which can only accept or reject it. It takes effect once published in the Staatsblad, on the date it sets.
- Timing and transition matter
- Tax Plan measures usually take effect on 1 January, but individual measures can carry later dates or transitional rules. The memo should state which applies to each measure the group cares about.
- The accounts follow enactment
- Under IAS 12, deferred tax is measured using tax rates and laws enacted or substantively enacted at the reporting date. A measure still before parliament at year-end may not yet count in the year-end figures.
- Read the memorandum and the amendments
- The explanatory memorandum shows the legislator’s intent and often answers questions of interpretation. Amendments can change the measure after Prinsjesdag, so the memo should state which version of the bill it is based on.

Tax Plan proposals: impact on group financing
What is proposed. The Tax Plan contains a measure that changes how interest on intercompany loans is treated in the Netherlands. Annex 1 compares the proposed text with the law in force, provision by provision, based on the bill as amended to date.
How certain it is. The bill is before the House of Representatives and may be amended there. The Senate can then only accept or reject it. The measure is proposed to take effect on 1 January. Whether it counts as substantively enacted for the year-end accounts depends on the timing of the Senate vote.
What the board is asked to decide. Finance’s model shows the effect on next year’s tax charge under the proposal (Annex 2). The board is asked to note the measure and to authorise finance to prepare a refinancing option for the March meeting, without committing to it until the law is published.
