The situation
A draft shareholder agreement for a Dutch BV, uploaded
A medical-device company in Eindhoven is bringing in an investor. The draft shareholder agreement, 38 pages from the investor’s lawyers, gives the investor a preferred dividend, sets good-leaver and bad-leaver prices for the two managers’ shares, and lets the company buy back shares. The founder, who holds her shares through a personal holding company, asks what it all means for tax.
The lawyers drafted for control, not for tax. The time goes on reading each clause for its effect on each type of shareholder: the founder’s holding company, the managers who hold shares personally and the investor. Most effects are expected. One or two could cost a shareholder far more than the clause suggests.
What the research has to settle
The rules behind the answer
- Dividends and buy-backs carry withholding tax
- Dutch dividend withholding tax applies to distributions by a BV. A repurchase of its own shares is generally treated as a distribution to the extent the price exceeds the paid-up capital on those shares. Exemptions depend on who receives the payment.
- A holding company changes the picture
- A Dutch corporate shareholder holding at least 5% generally receives dividends and gains free of corporate income tax under the participation exemption, and withholding can be avoided where the conditions are met. An individual with a substantial interest is taxed on the same income in box 2.
- Manager shares can be a lucrative interest
- Shares held by managers can fall under the Dutch rules on lucrative interests, which can tax their return in box 1 at progressive rates rather than in box 2. Whether they do depends on the share classes and the return they offer relative to the managers’ investment.
- Exit clauses decide when, not how
- Drag-along and tag-along clauses decide when shareholders sell, not how they are taxed. The founder’s holding company and the managers are taxed differently on the same exit, which affects what each will accept in the price clauses.

Draft shareholder agreement: tax effects for each shareholder
Preferred dividend, clause 7. For your holding company, dividends from the BV are generally exempt under the participation exemption, and the BV need not withhold dividend tax on them if the conditions are met. For the investor, the position depends on its form and residence, which we have asked its advisers to confirm.
Buy-back, clause 11. A repurchase of shares by the BV is generally treated as a distribution, with dividend withholding tax on the part of the price above the paid-up capital on the shares bought back. We recommend that the clause provides for this, so the price is paid net where tax must be withheld.
Leaver shares, clause 15. The managers hold their shares personally. Before signing, we recommend checking whether the share terms create a lucrative interest; if they do, the managers’ returns would be taxed in box 1 rather than box 2. Section 4 applies the tests to the share classes in the draft.
