The situation
A fund manager’s outsourced services and the supplier contracts
Your group manages UCITS funds from Luxembourg and is moving its transfer agency to a German service company, its fund accounting to a provider in Amsterdam and its payment reconciliation to a Dutch fintech. Each supplier’s draft contract says the fees are exempt. The CFO wants to know whether that holds before the fees are agreed, because unrecoverable VAT goes straight to cost.
The exemptions are short. The hours go on the decisions that define them: whether each outsourced service is a distinct whole that performs the specific, essential functions of an exempt transaction, or a technical service that supports one. The answer differs by service, and the supplier’s contract wording does not decide it.
What the research has to settle
The rules behind the answer
- Defined by the transaction, not the provider
- The exemptions for financial transactions apply according to the nature of the service, not the status of the supplier. In SDC (C-2/95) the Court of Justice held that a company which is not a bank can supply exempt services.
- Outsourced work must be specific and essential
- An outsourced service is exempt only if, viewed broadly, it forms a distinct whole that fulfils the specific, essential functions of an exempt transaction. Purely technical or administrative support is not, as CSC Financial Services (C-235/00) shows for call-centre work.
- Fund management has its own exemption
- The management of special investment funds is exempt, and member states define which funds qualify within limits the Court has set. In Abbey National (C-169/04) the Court held that outsourced administration can be exempt where it is specific and essential to managing the fund.
- Negotiation is narrower than it looks
- Negotiation means acting as an intermediary to bring about a financial transaction. Providing information, introducing customers or giving advice without that role is generally not negotiation, a line the Court has drawn in several decisions.

Outsourced fund services: VAT treatment by supplier
Transfer agency. The German provider keeps the share register and processes subscriptions and redemptions. These functions are specific to managing the funds, and the case law supports treating them as exempt fund management where the funds qualify as special investment funds. The contract should describe the functions in those terms.
Fund accounting. The Amsterdam provider calculates the net asset value and keeps the fund accounts. Under Abbey National, administrative functions of this kind can be exempt when they are specific to fund management, which the draft contract supports.
Payment reconciliation. The fintech matches incoming payments to investor records but does not transfer funds or change anyone’s legal and financial position. On the decisions reviewed, this is a technical service and should be treated as taxable. The fee should be negotiated on that basis.
