The usual form is a limited company. A Polish sp. z o.o., a Romanian SRL and a Czech s.r.o. each limit the parent’s liability to its contribution. Each country sets its own minimum capital, formation documents and register, and the research confirms the current requirements.
Activity codes follow NACE, nationally. Poland, Romania and the Czech Republic use national classifications built on the EU’s NACE. The EU has adopted NACE Rev. 2.1, and the research confirms which version each register applies today.
Czech trades may need a licence. Many business activities in the Czech Republic need a trade licence in addition to the company’s registration. Whether sales and servicing of medical-device accessories need one is part of the plan.
Registration is not the last filing. After incorporation come tax and VAT registration, the beneficial ownership register and employer registration before the first hire. Some of these run on short deadlines from incorporation.

Market entry in Poland, Romania and the Czech Republic: company set-up

Form. We propose a limited company in each country: a sp. z o.o. in Poland, an SRL in Romania and an s.r.o. in the Czech Republic. Each limits the group’s liability to its contribution and can employ staff and register for VAT locally.

Activity codes. The proposed code in each country covers wholesale of medical and orthopaedic goods, with a secondary code for repair and maintenance. The reasoning is set out in the Annex.

Order of steps. Incorporation, then tax and VAT registration, then the beneficial ownership filing, then employer registration before the first hire. In the Czech Republic the trade licence is obtained before trading starts.

The situation

A plan to enter three new countries with local companies

A Danish maker of medical-device accessories in Aarhus sells into Central Europe through distributors and now wants its own companies in Poland, Romania and the Czech Republic, each with a small sales and service team. The budget is approved. The CFO needs a plan for the board: what to set up in each country, in what order and under which activity code.

Each country has a familiar limited-company form and its own route to the register. The detail differs: notarial deeds, online registration, trade licences, the activity classification the register uses, and the registrations that follow. The hours go on building one plan out of three procedures.
